Management Discussion & Analysis statement for the financial year 2022-2023

In the 2022/2023 fiscal year, Verdier & Co. expanded beyond its Anglo-French roots to establish a diverse international team fluent in over 12 languages. This transformation underpins our relentless dedication to offering expert, unbiased and innovative pan-European M&A and corporate finance advice to our clientele.

Even amidst global financial challenges, we solidified our market stance. We completed M&A transactions, executed confidential corporate finance mandates, and gained new cornerstone clients. Our growth was evident, with a 55% YoY increase in organic revenue to March 2023, largely from increased volume of mandates and consummation of several transactions in the UK and Poland.

Our FY2023 revenue showcased a balanced geographical distribution, reflecting our pan-European focus and expertise. Currently, we are experiencing a further increase in trans-European mandates particularly in the UK, the Nordics, France and Spain.

This past year we sustained our strong activity in the Technology and Cleantech/ Greentech sectors and expanded our footprint in Business Services, particularly Facilities Management. Despite our strategic investments in growth and digital capabilities (team expansion, promotions, employee wellbeing initiatives, structure/ IT/ processes, and brand positioning), Verdier & Co. remains self-financed and generates positive cash-flows.

On the product front, we have continued to invest in E.M.I. (“Extensive Mapping Intelligence”), our proprietary acquisition target screening solution which enables our Corporate and Private Equity clients to identify ‘hard-to-find’ acquisition targets or new investment platforms and to support their buy-and-build strategies.

In addition to a +40% growth in our FTE headcount, Verdier & Co. strengthened its Advisory Board, which brings together experienced senior leaders across banking, equity markets, scale-ups, and corporates in the UK and Europe. Recently, the firm appointed one of its members as an independent Chair and in September 2023 we will be welcoming another Senior Adviser.

In November 2022, Verdier & Co. proudly reached a significant milestone by securing the B Corp certification, reinforcing our unwavering dedication to sustainability and ethical governance. As a certified B Corp, we are not solely profit-oriented but deeply driven by purpose, firmly believing in leveraging business as an instrument for positive impact. Our foundational values of “Excellence – Perseverance – Results” are vividly manifested in our internal dynamics and in our selective focus on sectors, clients, and mandates.
